Terms of service
These terms are an agreement between you and Ekime Limited (RC 9895429), which operates Ekime. By creating an account or placing an order through a shop on Ekime, you accept them.
1. What Ekime is
Ekime is software that lets a restaurant, bar or shop take orders, manage its menu and staff, and get paid. We provide the software. We are not the seller.
When you order from a shop on Ekime, your contract is with that shop. They prepare it, they deliver or hand it over, and they are responsible for it. We are responsible for the software working — for your order reaching them, and for the money reaching them correctly.
2. Accounts
- You must be at least 18 to open a merchant account, and 13 to hold any account.
- What you tell us about your business must be true.
- You are responsible for what happens under your sign-in. Staff you invite act with the permissions you gave them — review them, and remove people who have left.
- Tell us promptly if you think somebody else has your account. We will not ask for your password, ever.
3. Running a shop on Ekime
You are responsible for your own business. Specifically:
- Your prices, menu and descriptions must be accurate. Allergen information in particular: shoppers rely on it, and a wrong entry is not our mistake to make right.
- Your own licences and permits — food hygiene, alcohol, whatever your trade requires — are yours to hold and keep current.
- Regulated goods and services. If you sell medicines, cooking gas, health services or alcohol, holding the licences the law requires, keeping them current and keeping to their conditions is your responsibility. We may ask to see a licence before your shop opens or at any time after. A pharmacy or chemist may list over-the-counter products only, and must not list prescription-only medicines. A clinic, lab or other health service must not ask its customers for health details through Ekime. Where a licence is missing or expired, or one of these rules is broken, we may take listings down, suspend the shop or close it.
- VAT: off unless you switch it on. A business with turnover of ₦100 million a year or less does not have to charge VAT. If your business is registered for VAT, its owner can switch VAT on in the shop's settings by giving its TIN and agreeing to the VAT declaration shown there. From then on Ekime adds VAT at 7.5% to the standard-rated items on your orders and gives each order a numbered VAT invoice; you mark which of your items are zero-rated or exempt, and they carry none. The VAT is paid out to you with your sales, and you file your returns and pay it to the tax authority yourself. If the tax authority appoints Ekime to collect it, we will tell you first: Ekime will then keep it back when an order is paid, or take it from your balance when the customer paid you at the counter, pay it for you, and give back its part with any refund, and your tax report will show what Ekime paid for you. Your other taxes, including any state tax you charge yourself, are yours.
- Fill the orders you accept, at the price shown, or tell the customer promptly and refund them.
- Your customers' data is yours to look after. You are its controller; we hold it for you. Do not use it for anything you did not tell them about.
You may not use Ekime to sell anything illegal, to sell age-restricted goods without checking age, to take payment for something you do not intend to supply, or to send people messages they did not ask for.
4. Ordering from a shop
- An order is an offer to buy. It becomes a contract when the shop accepts it, which is when you see it confirmed.
- Prices are set by the shop and shown before you confirm, with any VAT the shop charges added to the order as its own line. The price you are charged is calculated by us from the shop's own menu — never from anything your browser sends.
- Give a phone number that works. It is how the shop reaches you when your order is ready or there is a problem.
- A delivery estimate is an estimate. Traffic in Lagos is not something either of us controls.
5. Payment
Shoppers
You may pay online when you order, or pay the shop directly on collection or delivery, depending on what the shop offers. Card details go straight to our payment provider and are never stored by us.
Merchants
Money from online payments lands in your Ekime wallet, less the payment provider's fee and any Ekime fee agreed with you. You can withdraw it to your bank account on request. We may hold a withdrawal where we have reasonable grounds to suspect fraud, or where a dispute is open — and we will tell you why.
Cash and card-machine payments taken in person never touch Ekime. They are recorded so your figures are complete, and the money is already yours.
6. Refunds
Refunds are the shop's, not ours. If your order was wrong, late, or never arrived, ask the shop. Ekime gives them the tools to refund you and records it when they do.
A merchant refunding an online payment refunds the whole payment; the money returns by the route it came. Where a payment provider has already taken its fee, that fee may not come back — that is the provider's rule, not ours.
We will step in only where a shop has clearly taken money for something it never supplied and will not respond. We are not an arbitrator of whether the jollof was good.
7. Reviews
You can review a shop you have actually ordered from. Reviews must be your own honest experience. We remove reviews that are abusive, that identify a member of staff by name, or that we have good reason to believe are fake — in either direction. A merchant cannot delete a review for being unflattering.
8. What belongs to whom
Ekime — the software, the name and the design — is ours. You get a licence to use it while your account is open, and nothing more.
Your content stays yours. Your menu, your photographs, your shop's name. You give us permission to store it, resize it and show it to your customers, which is what running your shop page requires, and to nothing else. Take your business elsewhere and that permission ends with it.
Do not upload photographs you do not have the right to use. If somebody complains that you have, we will act on it.
9. Suspension
We may suspend or close an account that breaks these terms, that is being used for fraud, or that we are required to act on by law. Except where the law or an urgent risk prevents it, we will tell you why and give you a chance to put it right.
You can close your account whenever you like. Money already in your wallet remains payable to you, and records we are required to keep are kept.
10. What we do not promise
We will keep Ekime running and fix it when it breaks, but we do not promise it will never be unavailable. Maintenance, a failure at a provider we depend on, or a fault we did not foresee will all happen at some point.
We are not responsible for the quality, safety or legality of anything sold through Ekime. That is the shop's.
11. Liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not permit us to limit.
Otherwise, and to the extent the law allows: we are not liable for lost profits, lost business or lost data; and our total liability to a merchant, for everything arising in any twelve-month period, is limited to the fees that merchant paid us in that period.
12. Changes
We may change these terms. If a change materially affects you we will give at least 30 days' notice by email, and continuing to use Ekime after it takes effect means you accept it. If you do not, close your account before then.
13. Disputes and governing law
These terms are governed by the law of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction.
Before going to court, write to us at hello@ekime.app. Most things are a misunderstanding that a conversation fixes, and we would rather have the conversation.
